All the express terms of the Order between the Buyer and the Seller are set out or referred to on the face of the Order and in these Conditions. By acceptance of the Order or by delivery of the Goods the Seller accepts that the terms set out or referred to on the face of the Order and in these Conditions shall prevail over and exclude any written, standard or other terms and conditions of the Seller. No variation, addition or other amendments to the terms set out or referred to on the face of the Order and in these Conditions shall be incorporated in the Order unless agreed by the Buyer in writing.
The Seller shall deliver the Goods to the place and on the date or dates, more particularly defined in the Order. The Goods shall be properly packaged and protected so as to prevent damage or deterioration during conveyance to the Buyer, under normal condition, by the means stipulated or implied in the Order. Time of delivery will be as mentioned in the Order. If the Seller fails to deliver the Goods at the agreed time the Buyer may cancel the Order without prejudice to the other remedies available to the Buyer. If the Buyer grants the Seller any extension of time for delivery, the same shall not in any way affect the Buyer’s rights or the Seller’s obligations under the Order. Property and risk in respect of the Goods shall pass to the Buyer upon delivery and the Seller shall not retain any title to the Goods.
